Woise is operated by […legal entity name…], […registered address…] (“Woise”, “we”, “us”). By creating an account or using the platform you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and “you” means that company.
2. What Woise provides
Woise lets you design voice and chat agents, connect them to phone numbers and other systems, and run them. What each agent says and does is configured by you. We provide the platform; we do not review, approve or take responsibility for the content of the agents you build or the conversations they have.
3. Your account
You must give accurate signup details and keep your credentials secure. You are responsible for everything done under your account. One email address holds one account on one regional site — that is a deliberate constraint of how Woise stores data by region, not an oversight. Tell us promptly at security@woise.ai if you believe your account has been compromised.
4. Acceptable use
You may not use Woise to:
- place calls or send messages that are unlawful where the recipient is, including calls that breach do-not-call registers, calling-hour restrictions or consent requirements;
- impersonate a person or organisation, or conceal that a caller is automated where disclosure is required;
- engage in fraud, phishing, or the collection of payment details or credentials under false pretences;
- harass, threaten or repeatedly contact someone who has asked not to be contacted;
- upload or process data you have no right to process, or use the platform in a way that breaches someone's privacy rights;
- probe, overload or interfere with the platform or with other customers' use of it, or attempt to circumvent limits or access controls;
- resell or expose the platform in a way that lets a third party build agents on your account without agreeing to these terms.
We may suspend an account immediately where we reasonably believe it is being used this way, or where a carrier or regulator requires it. Where we can, we will tell you first and give you a chance to fix it.
5. Calls, consent and disclosure
You are the caller. When an agent you built places or answers a call, you are the party contacting that person, and the obligations that come with it are yours: having a lawful basis to call, honouring opt-outs and do-not-call lists, respecting calling hours, registering with carriers or regulators where required, and disclosing that the caller is an AI where the law requires it.
Woise gives you tools for this — a configurable AI disclosure, do-not-call list handling, calling-hour controls and an audit log — and it is your responsibility to switch them on and configure them correctly for the places you call. We do not do it for you, and using the platform is not evidence that you have.
Recording. Recording is off unless you turn it on. Where you turn it on, you are responsible for obtaining whatever consent the relevant jurisdiction requires, which in some places means consent from every party to the call.
In our relationship with you, you are the controller of the personal data in your calls and we are your processor. See the Privacy Policy, and the Data Processing Addendum, which forms part of these terms and carries the Art. 28(3) processor obligations.
6. Your data and your agents
Your prompts, agent designs, uploaded documents, transcripts and recordings are yours. You grant us the licence we need to host and process them in order to run the service for you, and nothing more. We do not use your call content or your customers' data to train models, and we do not sell it.
7. Third-party services
Woise routes calls over telephony carriers and passes audio and text through speech and language model providers, and you may connect further tools of your own. Those services have their own terms, and outages or changes on their side can affect the platform. We choose these providers carefully but we do not control them.
8. Fees
Paid plans and usage-based charges are billed as described at signup and in your dashboard. Late or failed payment may lead to suspension after notice.
9. Ending the agreement
You may close your account at any time. We may terminate for material breach that is not fixed within a reasonable period after notice, or immediately for the conduct in section 4. On termination your right to use the platform stops; your data is retained and deleted as described in the Privacy Policy, and you should export anything you want to keep before closing the account.
10. Service levels
Availability target. Woise targets […uptime %, e.g. 99.9%…] monthly availability of the API and dashboard.
How availability is measured. […Define it precisely: which endpoints, probed from where, at what interval, and what counts as a failed probe. An SLA that does not say how the number is produced is one neither party can check.…]
Exclusions. Scheduled maintenance announced […notice period…] in advance; failures of telephony carriers or of speech and language providers outside Woise's control; issues caused by your own configuration, network or third-party integrations; and force majeure.
Remedy. If availability falls below the target in a calendar month, you may claim a service credit of […credit %…] of that month's fees, up to […cap…]. Credits are the sole and exclusive remedy for unavailability. To claim, write to support@woise.ai within […claim window…] of the end of the affected month.

11. Warranties and liability
Except for the service levels in section 10, the platform is provided “as is”. We do not warrant that it will be uninterrupted or error-free, that speech recognition will be accurate, or that a language model will produce any particular output.
To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits, revenue or data, and our total liability in any twelve month period is limited to […liability cap, e.g. the fees paid in the preceding twelve months…]. Nothing here excludes liability that cannot lawfully be excluded.
You will indemnify us against claims arising from calls you placed or answered using the platform in breach of section 4 or section 5.
12. Changes
We may update these terms. For material changes we will give account holders notice by email before they take effect. Continuing to use Woise after that means you accept the updated terms.
13. Governing law
These terms are governed by the laws of […jurisdiction…], and the courts of […jurisdiction…] have exclusive jurisdiction.
